End-User License Agreement (EULA)

This End-User License Agreement ("Agreement") is a legal agreement between you ("Licensee" or "You") and GraffitiSuite Solutions ("Licensor," "We," or "Us") for the software product Scrawler ("Software").

By downloading, installing, or using Scrawler, You agree to be bound by the terms of this Agreement. If You do not agree, do not install or use the Software.

1. Merchant of Record

Our order process and software licensing transactions are conducted through our online reseller, FastSpring (Bright Market, LLC dba FastSpring). FastSpring is the Merchant of Record for all Scrawler software purchases. FastSpring handles customer service inquiries, billing, and payment processing related to your purchase.

2. License Grant (Licensed, Not Sold)

The Software is licensed, not sold. Subject to your compliance with this Agreement, Licensor grants You a revocable, non-exclusive, non-transferable, limited license to download, install, and use Scrawler solely for your personal or internal business operations.

3. Restrictions on Use

You shall not, directly or indirectly:

  • Sublicense, sell, rent, lease, assign, distribute, or otherwise transfer your license key or rights to the Software to any third party.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
  • Modify, adapt, translate, or create derivative works based upon the Software.

4. Confidentiality & Account Security

You acknowledge that license keys, activation credentials, trade secrets, and proprietary documentation provided by GraffitiSuite Solutions constitute confidential information.

You agree to maintain the strict confidentiality of your license keys and account data. You are solely responsible for preventing unauthorized access to or disclosure of your license keys. Any unauthorized distribution or publication of a license key will result in immediate cancellation of the license without refund and may subject You to legal liability for damages.

5. Trial Period & Functionality Limits

Scrawler includes a 7-day trial period beginning on the date of initial installation. Upon expiration of the 7-day trial, certain features and functionality within the Software will automatically become disabled or unavailable until a valid, paid license key is activated through FastSpring.

6. Export Controls and Sanctions Compliance

You agree to comply with all applicable import, export, re-export, and economic sanctions laws and regulations, including but not limited to the Export Administration Regulations (EAR) maintained by the U.S. Department of Commerce and trade/economic sanctions maintained by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC).

By downloading, installing, or using the Software, You represent and warrant that:

  • You are not located in, under the control of, or a national or resident of any embargoed or sanctioned country or territory (including, without limitation, Cuba, Iran, North Korea, Syria, or the Crimea, Donetsk, or Luhansk regions of Ukraine).
  • You are not listed on any U.S. Government list of prohibited or restricted parties, including OFAC's Specially Designated Nationals (SDN) List or the Entity List.
  • You will not use the Software for any purpose prohibited by U.S. or international law.

You assume sole legal responsibility and liability for ensuring that your acquisition, export, re-export, or use of Scrawler fully complies with all applicable foreign and domestic export control laws and sanctions rules.

7. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from GraffitiSuite Solutions if you fail to comply with any of its terms or conditions. Upon termination for any reason:

  • All license rights granted under this Agreement shall immediately cease.
  • You must immediately stop all use of Scrawler.
  • You must immediately destroy, delete, or uninstall all full or partial copies of the Software, along with all associated media, license keys, and documentation in your possession or control.

8. Disclaimer of Warranties ("As-Is")

To the maximum extent permitted by applicable law, the software is provided "as is" and "as available," with all faults and without warranty of any kind. GraffitiSuite Solutions expressly disclaims all warranties, express, implied, or statutory, including but not limited to implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall GraffitiSuite Solutions, its affiliates, or suppliers be liable for any special, incidental, indirect, punishable, or consequential damages whatsoever (including damages for loss of profits, business interruption, loss of data, or any other pecuniary loss) arising out of the use of or inability to use the software.

In any case, the entire and aggregate liability of GraffitiSuite Solutions under any provision of this agreement shall be limited to the actual amount paid by you for the license to the software, or $10.00 USD, whichever is greater.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to this Agreement or the Software shall be instituted exclusively in the United States District Court for the Eastern District of Tennessee located in Greeneville, TN (or the appropriate state court sitting in the same jurisdiction), and each party irrevocably submits to the exclusive jurisdiction of such courts.
